CallRevu Product Research Feedback Agreement

 

This FEEDBACK AGREEMENT (this “Agreement”) is entered into between CallRevu LLC, a Maryland corporation (“CallRevu”, or “We”) and you (“You”) and takes effect on the date that you click “Submit” to indicate your acceptance of the terms of this Agreement.

  1. Purpose

CallRevu and You wish to share information and ideas with one another related to pre-commercial concepts or versions of CallRevu’s products and services. By participating in the “CallRevu Customer Advisor” program, You agree to provide feedback to CallRevu about pre-commercial concepts or versions of CallRevu’s products and services including, but not limited to, proposed names for such pre-commercial products and services, suggestions, ideas, recommendations, requests, responses, process descriptions, or other related information provided by You in any form, including, but not limited to, via survey responses, interviews, recordings, and telephone, email, and written correspondences (“Feedback”). You do not claim ownership or interest in the Feedback passed by You to CallRevu and You hereby irrevocably license to CallRevu all right(s) to use and incorporate Feedback for the development of any CallRevu products and services worldwide without restriction or payment to You.

  1. Confidentiality

Feedback and all information related to the CallRevu Customer Advisors program, including any information that CallRevu discloses to You about its products and services, information in any survey that CallRevu provides to You, as well as the existence and terms of this Agreement, is confidential and proprietary information that belongs to CallRevu (“Confidential Information”). By participating in the CallRevu Customer Advisors program, You agree that You will: (1) receive and maintain Confidential Information in strict confidence, taking all reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information in order to prevent it from falling into the public domain or the possession of other persons; and (2) not disclose Confidential Information to any third party or the public. You understand that disclosure of such Confidential Information will cause irreparable harm to CallRevu. All Confidential Information is and shall remain the property of CallRevu. By disclosing Confidential Information to You, CallRevu does not grant any express or implied ownership or warranty rights to You. For the avoidance of doubt, Your participation in the CallRevu Customer Advisors program does not mean You are an employee, representative or agent of CallRevu for any purpose.

  1. Recordings

You understand that CallRevu may record You, process information You share with CallRevu, and use such information and Feedback for its own business purposes, and You consent to the foregoing. You do not claim ownership or interest in any such recordings and You hereby irrevocably license to CallRevu all right(s) to use such recordings for the development of any CallRevu products and services worldwide without restriction or attribution or payment to You.

  1. Unsubscribe and/or Revoke Participation

At any time You can choose to revoke your participation in the CallRevu Customer Advisors program and stop receiving email communications from CallRevu about the CallRevu Customer Advisors program by sending an email to product@callrevu.com and requesting to be removed from the program. Please note, however, that if you are a CallRevu customer, then electing to be removed from the program will not exclude You from receiving messages regarding Your CallRevu account, such as CallRevu account verification, changes or updates to features of Your CallRevu account, or technical and security notices related to Your CallRevu account.

  1. Privacy

Your privacy is important to CallRevu. Please take a moment to read our Privacy Policy (https://callrevu.com/privacy) for more information regarding how We treat Your personal data and protect Your privacy.

  1. Responsibilities

CallRevu shall not be responsible for any damages arising from Your acts or failures to act while participating in the CallRevu Customer Advisors program. You will be responsible to CallRevu, and make CallRevu whole, for any losses CallRevu incurs because of Your acts and failures to act in connection with such participation. The laws of the State of Maryland, United States of America, shall govern this Agreement excluding that body of law known as choice of law, and shall be binding upon the parties hereto in the United States and worldwide. You confirm that You understand, have read and agree to the above terms and conditions, You voluntarily agree to become a member of the CallRevu Customer Advisors program, and Your participation, and acceptance of any gifts or incentives provided by CallRevu, is in compliance with all applicable conflict of interest laws, regulations, and rules of Your employer, as well as with Your employer’s Code of Conduct and any employment or similar agreements You may have with Your employer.
